This agreement is between you ("User", "you") and Ldelight Solutions Private Limited ("Ldelight", "we", "us", "our"), a company incorporated under the Companies Act, 2013, bearing CIN U47912UP2024PTC196580, with its registered office at A7 Second Floor, Sector 10, Noida, Uttar Pradesh, 201301, India. Ldelight owns and operates Zeo Suite, a family of business-management software products marketed under the "Zeo Suite" and "ClicZeo" brands.
1. Acceptance of Terms
By accessing or using zeohq.com, any Zeo Suite product edition (including but not limited to TaxZeo, AstroZeo, CoachZeo, EventZeo, PropZeo, SalonZeo, ClinicZeo, DecorZeo, and TravelZeo), or any associated subdomain (each a "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.
If you are accessing the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
2. Definitions
- "Zeo Suite" means the umbrella software platform and each of its industry-specific editions.
- "AI Credits" means the usage units that meter AI-generation features within the Services beyond the fair-usage allowance.
- "ClicZeo" means the digital marketing services brand operated by Ldelight, through which Zeo Suite access may be bundled at no additional cost.
- "Content" means any data, text, client records, files, or other material you upload, input, or generate using the Services.
3. Eligibility
You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872, to use the Services. The Services are intended for business use by proprietorships, partnerships, companies, and professional practices operating in India.
4. Account Registration
You agree to provide accurate, current, and complete information when creating an account and to keep this information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@zeohq.com if you suspect unauthorized access.
5. Description of Services
Zeo Suite provides AI-assisted business management tools — including lead capture, client records, scheduling, compliance tracking, and AI-generated content — tailored to specific industry verticals. Features vary by edition and are described on the relevant product page. We may add, modify, or discontinue features at our discretion, with reasonable notice where a change materially reduces core functionality.
6. Access via ClicZeo
Zeo Suite is offered at no additional cost to clients with an active ClicZeo digital marketing retainer. This bundled access is contingent on your ClicZeo services agreement remaining active and is governed by the commercial terms of that separate agreement. If your ClicZeo engagement ends, your Zeo Suite access may be limited to data export and standalone continuation plans (where available) rather than full-featured use.
7. AI Credits & Fair Usage
Each Service includes a fair-usage allowance of AI-generation features at no additional cost. Usage beyond this allowance requires AI Credits, purchased separately. AI Credits are non-transferable between accounts, valid for 12 months from the date of purchase, and are consumed in the order in which they were purchased. We reserve the right to adjust fair-usage limits and credit-consumption rates with prior notice to reflect underlying AI provider costs.
8. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, including India's Information Technology Act, 2000, and rules made thereunder;
- Upload or generate unlawful, defamatory, obscene, or infringing content;
- Send unsolicited bulk communications (spam) to third parties via any integrated channel, including WhatsApp;
- Attempt to reverse-engineer, decompile, or gain unauthorized access to the Services or their underlying systems;
- Resell, sublicense, or provide the Services to third parties as a competing product without our written consent;
- Misrepresent your identity or business, or use the Services to facilitate fraud.
We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.
9. Your Content & Data
You retain all ownership rights to the Content you upload or generate through the Services. You grant Ldelight a limited, non-exclusive licence to host, process, and display your Content solely for the purpose of providing and improving the Services. We do not sell your Content or your clients' data to third parties. See our Privacy Policy for details on how data is collected, used, and protected.
You are solely responsible for ensuring you have the necessary rights and consents to upload any third-party data (such as your clients' personal information) into the Services.
10. Intellectual Property
The Zeo Suite name, logo, software, templates, and underlying technology are the intellectual property of Ldelight Solutions Private Limited and are protected under applicable Indian and international intellectual property laws. Nothing in these Terms grants you any right to use Ldelight's or ClicZeo's trademarks without prior written permission.
11. Third-Party Services
The Services may integrate with third-party platforms, including payment gateways (such as Razorpay), WhatsApp Business messaging, and advertising platforms. Your use of these integrations is also subject to the respective third party's terms and privacy policies. Ldelight is not responsible for the availability, performance, or practices of third-party services.
12. Fees & Payment
Fees for AI Credit packs are displayed at the point of purchase in Indian Rupees, exclusive of applicable GST, which is added at checkout. Payments are processed through our third-party payment gateway partner; we do not store your full card or bank details. All purchases are subject to our Refund & Cancellation Policy. Invoices are issued in the name of Ldelight Solutions Private Limited.
13. Service Availability
We aim to keep the Services available at all times but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages (including AI providers, hosting, or messaging APIs), or force majeure events may cause temporary unavailability.
14. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. AI-generated content (including drafted messages, reports, and proposals) is provided as a drafting aid and must be reviewed by you before use; we do not warrant its accuracy, completeness, or suitability for any specific compliance or professional purpose.
15. Limitation of Liability
To the maximum extent permitted by law, Ldelight's aggregate liability arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to Ldelight for the Services in the twelve (12) months preceding the claim. Ldelight shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.
16. Indemnification
You agree to indemnify and hold harmless Ldelight, its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services, your Content, or your violation of these Terms or applicable law.
17. Term & Termination
These Terms remain in effect while you use the Services. You may stop using the Services and request account closure at any time by contacting us. We may suspend or terminate your access if you breach these Terms, if required by law, or if your underlying ClicZeo services agreement ends. Upon termination, you may request an export of your Content within a reasonable period, after which it may be deleted from our systems in accordance with our data retention practices.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Subject to applicable law, the courts at Gautam Buddh Nagar, Uttar Pradesh shall have exclusive jurisdiction over any disputes arising from these Terms or your use of the Services. Both parties agree to first attempt to resolve disputes informally by contacting support@zeohq.com before initiating formal proceedings.
19. Changes to these Terms
We may update these Terms from time to time to reflect changes in our Services or legal requirements. Material changes will be notified via the Services or by email. Continued use of the Services after an update constitutes acceptance of the revised Terms.
